- “Client” or “End Traveler” refers to the final customer booking through Partner agencies

Eligibility and Partnership Requirements
Business Qualification
To partner with Tourism Incentives Azerbaijan, you must:

- Maintain professional liability insurance and appropriate business coverage

- Engage in fraudulent bookings, payment manipulation, or deceptive practices

Violation of these prohibitions may result in immediate partnership termination and potential legal action.
Booking Terms and Conditions
Reservation Process
All bookings for Azerbaijan travel packages must be processed through established partnership channels:
- Quotation Request: Partner submits detailed requirements including travel dates, passenger numbers, and preferences
- Confirmation: We provide written quotation with pricing, inclusions, and terms
- Booking Confirmation: Partner accepts terms and submits required passenger information
- Payment Processing: Deposit and final payment completed per payment terms
- Documentation: Final vouchers, itineraries, and travel documents issued
Pricing and Payment Terms
Pricing Structure:
- All prices are quoted in agreed currency (USD, EUR, or AZN as specified)
- B2B net rates provided to qualified partners based on partnership tier
- Prices include specified services as outlined in quotation documents
- Pricing subject to availability and confirmed upon booking
Payment Schedule:
- Standard deposit requirement: 30% upon booking confirmation
- Final balance due: 21 days prior to travel commencement
- Peak season bookings may require different payment terms as specified
- Late payment may result in booking cancellation and forfeiture of deposits
Payment Methods:
- International bank transfer (SWIFT)
- Credit card payments (processing fees may apply)
- Alternative payment arrangements by mutual agreement
Cancellation and Refund Policy
Partner-Initiated Cancellations:
- 60+ days before travel: 15% cancellation fee, 85% refund
- 30-59 days before travel: 35% cancellation fee, 65% refund
- 15-29 days before travel: 50% cancellation fee, 50% refund
- 7-14 days before travel: 75% cancellation fee, 25% refund
- Less than 7 days or no-show: 100% cancellation fee, no refund
Supplier-Imposed Cancellations: Certain services (hotels, special events, private tours) may have stricter cancellation terms that supersede the above policy. Partners will be informed of such conditions at the time of booking.
Force Majeure Cancellations: In cases of natural disasters, political unrest, pandemic restrictions, or circumstances beyond reasonable control, we will work with Partners to provide credits, alternative dates, or maximum possible refunds based on supplier recovery.
Modifications and Changes
- Changes to confirmed bookings subject to availability and modification fees
- Name changes may incur administrative fees and supplier charges
- Date changes treated as cancellations/new bookings unless within free modification window
- Itinerary modifications must be requested in writing and confirmed by our operations team
Partner Obligations and Responsibilities

- Verify passport validity (minimum 6 months beyond travel dates)

Partners are responsible for:

- Liability expressly excludes indirect, consequential, or punitive damages
Exclusions: We are not liable for losses resulting from:

- Client failure to meet visa, passport, or entry requirements
- Supplier bankruptcies or service failures beyond our control
- Client behavioral issues, health emergencies, or voluntary itinerary deviations
- Third-party actions including theft, accidents, or medical incidents
- Inaccurate information provided by Partners to clients
Partner Liability
Partners are responsible for:
- Their own business operations and client relationships
- Accurate representation of tour products to end travelers
- Ensuring clients have appropriate travel insurance coverage
- Managing client disputes arising from miscommunication or misrepresentation
- Compliance with consumer protection laws in their operating jurisdiction
Insurance Requirements
Tourism Incentives Insurance: We maintain appropriate business liability and professional indemnity insurance covering our operational activities in Azerbaijan.
Partner Insurance: Partners must maintain valid professional liability insurance and are strongly encouraged to require comprehensive travel insurance for all clients, covering:
- Trip cancellation and interruption
- Medical emergencies and evacuation
- Personal accident and baggage protection
- Activity-specific coverage where applicable
Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including:
- Natural disasters (earthquakes, floods, fires)
- War, terrorism, civil unrest, or political instability
- Pandemic or epidemic disease outbreaks and related restrictions
- Government actions, regulatory changes, or travel advisories
- Transportation disruptions, strikes, or infrastructure failures
- Supplier bankruptcies or sudden service unavailability
In force majeure situations, we will work collaboratively with Partners to:
- Provide alternative solutions where possible
- Reschedule travel to future dates
- Process maximum available refunds from suppliers
- Minimize financial impact on all parties
Data Protection and Privacy
Partner and client data is handled in accordance with our comprehensive Privacy Policy, which includes:
- Secure storage and processing of business information
- Protection of client personal data and booking details
- Compliance with applicable data protection regulations
- Limited sharing with authorized service providers only
- Partner rights to access, correct, or request deletion of data
Partners must ensure they have appropriate consent from clients to share personal information with us and acknowledge that cross-border data transfer to Azerbaijan may be necessary for service delivery.
Confidentiality
Confidential Information
Both parties agree to maintain confidentiality of:
- Pricing structures, commission rates, and commercial terms
- Proprietary business strategies and market intelligence

- Any information marked as confidential or reasonably understood to be sensitive
Permitted Disclosures

Confidentiality obligations survive partnership termination for a period of three (3) years.
Partnership Termination
Termination by Either Party
Either party may terminate the partnership relationship:
- With 30 days’ written notice without cause
- Immediately for material breach of these Terms following 15 days’ written notice and failure to remedy
- Immediately for fraud, illegal activity, or gross misconduct
Effects of Termination
Upon partnership termination:
- All confirmed bookings will be honored through completion of travel
- Outstanding financial obligations must be settled within 30 days
- Partner access to our platform and systems will be revoked
- Confidential information must be returned or destroyed
- Marketing material usage rights terminate immediately
- Post-termination cooperation required to resolve pending matters
Survival
The following provisions survive termination:
- Payment obligations for completed services
- Confidentiality requirements
- Intellectual property protections
- Limitation of liability clauses
- Dispute resolution procedures
Amendments and Updates

Dispute Resolution
Good Faith Negotiations
In the event of disputes arising from these Terms or our partnership relationship, both parties agree to:
- First attempt resolution through direct good-faith negotiations
- Escalate to senior management representatives if initial discussions fail
- Allow reasonable time (minimum 30 days) for negotiated resolution
Governing Law
These Terms & Conditions are governed by the laws of the Republic of Azerbaijan. Any legal matters shall be subject to the exclusive jurisdiction of the courts of Baku, Azerbaijan.
Arbitration
If negotiated resolution fails, disputes may be referred to binding arbitration in Baku, Azerbaijan, conducted in English under internationally recognized arbitration rules, with each party bearing their own costs unless otherwise determined by the arbitrator.
General Provisions
Entire Agreement
These Terms & Conditions, together with our Privacy Policy and any executed partnership agreements, constitute the entire understanding between Tourism Incentives Azerbaijan and Partners, superseding all prior communications, proposals, or agreements.
Severability
If any provision of these Terms is found unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision. All waivers must be in writing and signed by authorized representatives.
Assignment
Partners may not assign, transfer, or sublicense their rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to affiliated entities or in connection with business transfers.
Independent Contractors
The partnership relationship established by these Terms does not create employment, agency, joint venture, or franchise relationships. Both parties are independent business entities.
